3.2 Account Registration (Pilot and Customer Users)

To access certain features of the Services (including pilot programme participation), you may be required to register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate and current
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or incomplete.

4. Acceptable Use

4.1 Permitted Use

You may use the Website and Services only for lawful purposes and in accordance with these Terms. Specifically, you may use our Services to:

• Learn about our audit platform and healthcare compliance solutions
• Request product demonstrations or pilot programme participation
• Conduct healthcare audits using our digital workbooks (if you are a pilot participant or customer)
• Capture evidence, generate drafts, and manage audit workflows

4.2 Prohibited Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any local, national, or international law
• Violate or infringe upon the intellectual property rights of Guided Intelligence or any third party

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Website and Services, including all content, features, functionality, software, designs, text, graphics, logos, and other materials, are owned by Guided Intelligence Limited and are protected by New Zealand and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Guided Intelligence name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Guided Intelligence Limited. You may not use these marks without our prior written permission.

5.2 Limited Licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to:

• Access and use the Website for informational purposes
• Access and use the Services in accordance with any service agreement or pilot programme terms (if applicable)

This licence does not include any right to:

• Resell or make commercial use of the Services
• Download or copy content (except as necessary for normal browser caching)
• Collect or use product descriptions, prices, or other content for the benefit of third parties
• Create derivative works or modify any content from the Services

5.3 User Content

When you submit, upload, or provide content through the Services (such as audit evidence, notes, or communications), you retain ownership of your content. However, you grant Guided Intelligence a limited licence to use, store, and process your content solely for the purpose of providing the Services to you.

For audit data entered into our platform, you retain all ownership rights. We will handle your audit data in accordance with our Privacy Policy and any applicable service agreement.

6. Audit Professional Responsibility

Guided Intelligence provides tools and assistance for audit workflows. However:

• Professional Judgement: All audit findings, attainment determinations, and compliance assessments require independent professional judgement from qualified auditors. Our platform does not make these determinations.
• Verification Required: All draft outputs generated by the platform must be reviewed, verified, and approved by qualified auditors before being used in official audit reports.
• Compliance Responsibility: Users remain solely responsible for ensuring their audit work complies with all applicable standards, regulations, and professional requirements.
• No Certification: Use of our platform does not constitute endorsement, certification, or validation of any audit findings or reports.

You acknowledge that Guided Intelligence is a tool to support your audit process, not a replacement for professional expertise and responsibility.

Our Website and Services may contain links to third-party websites or integrate with third-party services (such as Formspree for form submissions). We do not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is subject to their own terms and privacy policies.

TO THE MAXIMUM EXTENT PERMITTED BY NEW ZEALAND LAW:

• Guided Intelligence, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Website or Services.
• This includes, without limitation, damages for loss of profits, goodwill, data, or other intangible losses, even if we have been advised of the possibility of such damages.
• Our total liability to you for all claims arising out of or related to these Terms or the Services shall not exceed the amount you paid to us for the Services in the twelve (12) months preceding the claim, or NZ$100, whichever is greater.

Nothing in these Terms excludes or limits our liability for:

• Fraud or fraudulent misrepresentation
• Death or personal injury caused by our negligence
• Any other liability that cannot be excluded or limited under New Zealand law

10. Pilot Programme Terms

If you participate in our pilot programme:

• Pilot Access: You will be granted temporary access to the platform for evaluation and testing purposes during the pilot period (late July 2026 onwards, subject to specific scheduling).
• Feedback: You may be asked to provide feedback, suggestions, and usage insights. Any feedback you provide may be used by Guided Intelligence without obligation or compensation.
• No Guarantee: Pilot access does not guarantee future access to the platform or any specific pricing terms.
• Confidentiality: You agree to treat platform features, functionality, and performance information as confidential and not to disclose such information to third parties without our prior consent.
• Termination: We may terminate pilot access at any time, with or without notice, at our sole discretion.

11. Modifications to Terms and Services

11.1 Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Sending you an email notification (if you have provided your email address)

14. General Provisions

These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Guided Intelligence regarding the use of the Website and Services.

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Guided Intelligence shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or internet service provider failures.
